These Terms of Service ("Terms") govern your access to and use of ValidCRM ("ValidCRM," "we," "our," or "us") and the customer relationship management software, websites, mobile applications, and related services we offer (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at william@novaroof.com if you suspect unauthorized use.
Some features of the Service are offered on a paid subscription basis. We may offer a free trial; trials automatically convert to paid subscriptions at the end of the trial period unless you cancel before then. Pricing and plan details are presented at signup and may change with notice.
Subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. Fees are non-refundable except where required by law or expressly stated in these Terms.
You may cancel your subscription at any time from your account settings or by emailing us. Cancellation takes effect at the end of the current billing period; you will retain access through that period. We do not provide refunds for partial months or unused time.
If a payment fails, we may suspend or terminate your access until payment is received. We may also charge interest on overdue amounts at the lower of 1.5% per month or the maximum rate permitted by law.
You retain all rights to the data you upload, enter, or generate through the Service ("Your Content"), including the customer information, photos, proposals, and notes you create. We do not claim ownership of Your Content.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content solely as necessary to provide and improve the Service, including making backups and serving Your Content back to you.

We reserve the right to suspend or terminate accounts that violate this section.
The Service may integrate with third-party services (such as Facebook, RingCentral, Google, Stripe, and others). Those services have their own terms and privacy policies, and your use of them is governed by their terms. We are not responsible for the availability, accuracy, or actions of third-party services.
The Service, including its software, design, branding, and content (other than Your Content), is owned by ValidCRM and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription, subject to these Terms.
We strive to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may experience downtime for maintenance, upgrades, or factors outside our control. We may modify, add, or remove features at any time. We will provide reasonable notice of material changes that adversely affect a paid feature you use.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIDCRM AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless ValidCRM and its officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another, including the privacy rights of your end customers.
You may terminate your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or non-payment. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
After termination, we will retain Your Content in accordance with our Privacy Policy and applicable law. You may request export of Your Content within 30 days of termination by emailing william@novaroof.com.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.
You and ValidCRM waive any right to a jury trial. You agree to bring any claim only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will notify you by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
